Terms of Service

These terms govern your access to and use of NicoSoft AI and its related routing, account and billing features.

Use of the service

NicoSoft AI provides a unified platform for accessing and managing AI model routing, account access, credits and related developer tooling. By using the service, you agree to use it only for lawful business or personal purposes and in a manner that does not interfere with the platform, other users or upstream providers.

Eligibility

You must be at least 13 years old to create an account, and at least the age of majority in your jurisdiction to make payments or purchase credits. You represent that you are not on any sanctioned-party list, located in a sanctioned country, or otherwise prohibited from receiving services under applicable export-control, financial-services or AI regulations.

If you are using the service on behalf of an organization, you represent that you have authority to bind that organization to these terms; "you" and "your" then refer to both you personally and that organization.

Accounts and access

You are responsible for the accuracy of the registration information you provide and for maintaining the security of your account, session and API credentials. You must promptly notify us if you believe your account or keys have been accessed without authorization. We are not responsible for losses arising from credentials that you, your team or your tooling have leaked or shared.

Acceptable use

You may not use the service to violate applicable law, abuse upstream systems, attempt to bypass rate limits or security controls, distribute malicious content, or interfere with the stability, integrity or availability of the platform. We may suspend or restrict access where necessary to protect the service, our users or our partners.

Specifically, you agree not to use the service to generate or distribute: content that sexually exploits or endangers minors; weapons or malware instructions; targeted harassment, defamation or doxxing; spam, phishing or other deceptive material; content that infringes intellectual-property rights you do not control; content intended to manipulate elections, official processes or critical infrastructure; or any output prohibited by the upstream model provider's policies. We may report unlawful activity to law enforcement.

Inputs and outputs

You retain all rights you have in the prompts, files, conversation history and other content you submit to the service ("Inputs"). You also retain whatever rights applicable law affords you in the model-generated content returned by the service ("Outputs"). AI Outputs are inherently probabilistic, may be inaccurate, biased or repetitive, and may overlap with Outputs produced for other users; you are responsible for reviewing Outputs before relying on or publishing them.

You grant us a worldwide, royalty-free, non-exclusive license to host, process, transmit and store Inputs and Outputs solely to operate and improve the service, secure the platform, enforce these terms, generate aggregated and de-identified analytics, and comply with legal requests. We do not use your Inputs or Outputs to train foundation models. Some upstream model providers may apply their own retention and abuse-monitoring policies to traffic routed through their endpoints; you acknowledge that routing through those providers is subject to their terms.

Third-party services

The service routes requests to third-party AI providers and uses third-party payment processors, infrastructure and storage vendors. Their availability, output quality, content policies and pricing are outside our control. We make no warranty regarding any third-party model or service, and your use of those features is also subject to the relevant vendor's terms.

Indemnification

You agree to defend, indemnify and hold harmless NicoSoft AI, its affiliates, officers, employees and partners against any claim, loss, liability, damage or expense (including reasonable legal fees) arising out of or related to: (a) your use of the service; (b) Inputs or Outputs you submit, generate, publish or rely on; (c) your violation of these terms or any applicable law; or (d) your infringement of any third-party right.

Billing and credits

Access to most paid features requires prepaid credits, billed in U.S. dollars unless otherwise stated. Credits are a license to use the service, not money on deposit, not a bank balance, and not transferable to another account. They have no cash value, do not accrue interest, and may not be redeemed, sold, traded or assigned. You are responsible for all charges incurred through your account, including usage caused by leaked or shared API keys.

Pricing, conversion rates, free quota allotments and minimum / maximum deposit amounts may change from time to time. Changes do not affect credits already purchased, but the current pricing applies to all new requests and deposits. Continued use of the service after a change constitutes acceptance of the revised terms.

You agree not to initiate any chargeback, payment-dispute, credit-card reversal or equivalent action against deposits you have authorized. Initiating a chargeback authorizes us to suspend your account, deduct the disputed amount (plus any payment-processor fees) from your remaining balance, and pursue collection of any shortfall.

Refunds and digital goods

Credits, gift cards and any other digital balances on the platform are non-refundable, non-cancellable and non-exchangeable. Because credits are consumed immediately on each API request — and gift cards are delivered as digital codes the moment they are issued — they are treated as digital goods supplied and consumed upon purchase. By depositing funds or redeeming a gift card, you expressly waive any right to a cooling-off period or refund that would otherwise apply to digital content under your local law, to the maximum extent that waiver is permitted.

We may, at our sole discretion, issue good-will credit (not a cash refund) if a charge resulted from a verified platform fault on our side. Such adjustments are credited to your account balance and remain subject to the rest of these terms; they do not establish a precedent or entitlement to future refunds.

If a deposit is reversed by your bank or payment processor without our consent (chargeback, fraud claim, etc.), the corresponding credits are voided, your account may be suspended, and any further requests will fail until the balance is restored.

Account termination

You may close your account at any time. We may suspend or terminate accounts that violate these terms, that have been compromised, or that show signs of fraud, abuse or chargeback risk. On termination — whether initiated by you or by us — any remaining credit balance is forfeit, all active API keys are revoked, and we may delete or anonymize associated data subject to the retention windows described in our Privacy Policy and to applicable legal-and-tax record-keeping obligations.

Availability and changes

We work to keep the service available and reliable, but we do not guarantee uninterrupted availability, error-free operation or compatibility with every third-party tool or upstream provider at all times. We may update, improve, suspend or discontinue parts of the service as the platform evolves. Where reasonably possible we will provide notice of material changes through the dashboard or registered email.

Limitation of liability

To the maximum extent permitted by law, NicoSoft AI is provided on an as-is and as-available basis. We are not liable for indirect, incidental, special, consequential or exemplary damages, or for loss of data, revenue, profits, business opportunity or goodwill arising from your use of the service. Our aggregate liability arising out of or relating to the service is limited to the total amount of credits you have purchased and consumed during the three months preceding the event giving rise to the claim.

Modifications to these terms

We may revise these Terms of Service from time to time. When changes are material, we will provide reasonable advance notice through the dashboard, the registered email on file, or both. Non-material changes (clarifications, contact updates, typo fixes) may take effect immediately. The "Last updated" date at the top of this page reflects the most recent revision; continued use of the service after that date constitutes acceptance of the revised terms.

Governing law and disputes

These terms are governed by the laws of the jurisdiction in which the operating entity is registered, without regard to conflict-of-law principles. You and we agree to first attempt to resolve any dispute informally by contacting support. If informal resolution fails, the dispute will be settled in the competent courts of that jurisdiction, unless a mandatory consumer-protection law in your country requires a different venue. You waive any right to participate in a class action where waiver is permitted.

General

If any provision of these terms is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right does not waive that right. You may not assign these terms without our prior written consent; we may assign them to an affiliate or successor as part of a corporate transaction. Sections on Billing and credits, Refunds and digital goods, Account termination, Indemnification, Limitation of liability and Governing law survive any termination of your account. Neither party is liable for failure to perform due to causes beyond reasonable control (force majeure), including network outages, upstream provider failures or events affecting third-party infrastructure. These terms, together with the Privacy Policy and any in-product notices, constitute the entire agreement between you and us regarding the service and supersede prior agreements on the same subject.
